Terms of Service

These Terms of Service ("Terms") govern your use of Issue AI for Jira ("the App"), provided by Cloudox ("we", "us", or "our"). By installing or using the App, you agree to be bound by these Terms.

1. Service Description

Issue AI for Jira is an Atlassian Forge application that provides AI-powered issue creation, title and description improvement, and subtask generation capabilities within Jira Cloud. The App integrates with third-party AI providers selected by the customer.

2. Eligibility

The App is intended for use by organizations and individuals who have a valid Jira Cloud subscription. By installing the App, you represent that you have the authority to bind your organization to these Terms.

3. Account and API Keys

• You are responsible for obtaining and maintaining API keys from your chosen AI provider (OpenAI, Google Gemini, or Anthropic Claude).
• You are responsible for all costs incurred from your AI provider based on your usage of the App.
• You must keep your API keys confidential and must not share them with unauthorized parties.
• Cloudox is not responsible for any charges, rate limits, or service changes imposed by third-party AI providers.

4. Acceptable Use

You agree not to use the App to:

• Generate content that violates applicable laws or regulations
• Generate content that is harmful, abusive, discriminatory, or offensive
• Circumvent or attempt to circumvent security measures
• Interfere with or disrupt the App or its infrastructure
• Reverse engineer, decompile, or disassemble the App
• Use the App in any way that violates the Atlassian Marketplace Developer Agreement or Atlassian's policies

5. AI-Generated Content

• AI-generated content is provided as suggestions and should be reviewed by users before use.
• Cloudox does not guarantee the accuracy, completeness, or appropriateness of AI-generated content.
• You are responsible for reviewing and approving all content before it is created as a Jira issue.
• AI-generated content may not reflect the views or opinions of Cloudox.

6. Intellectual Property

The App, including its code, design, and documentation, is the intellectual property of Cloudox. You are granted a limited, non-exclusive, non-transferable license to use the App in accordance with these Terms and the applicable Atlassian Marketplace agreement.

Content generated by the App using your input remains your property. You retain all rights to Jira issues created through the App.

7. Privacy and Data Protection

Your use of the App is also governed by our Privacy Policy. We are committed to protecting your data in accordance with the General Data Protection Regulation (GDPR) and applicable data protection laws.

8. Service Availability

We strive to maintain the App's availability but do not guarantee uninterrupted or error-free service. The App depends on Atlassian Forge infrastructure and third-party AI providers, which are outside our direct control.

We may update, modify, or discontinue the App or any of its features at any time with reasonable notice.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The App is provided "as is" and "as available" without warranties of any kind, whether express or implied.
• Cloudox shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App.
• Cloudox's total liability for any claim related to the App shall not exceed the amount you paid for the App in the 12 months preceding the claim.
• Cloudox is not liable for any costs, damages, or losses arising from the use of third-party AI providers, including but not limited to API charges, data processing, or content generation.

10. Indemnification

You agree to indemnify and hold harmless Cloudox from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the App, your violation of these Terms, or your violation of any applicable law or third-party rights.

11. Termination

You may stop using the App at any time by uninstalling it from your Jira Cloud instance. Upon uninstallation, all App data stored in Forge KVS (templates, settings, API keys) will be deleted.

We reserve the right to suspend or terminate your access to the App if you violate these Terms.

12. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the "Last updated" date at the top of this page. Continued use of the App after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. The exclusive jurisdiction for any disputes arising from these Terms shall be the courts of Duisburg, Germany.
